General Terms and Conditions


Welcome to Arcvise. By using our websites and placing orders, you agree to the terms and conditions below. These general terms and conditions apply to arcvise, including its branches, arcvise UniFi Services (AUS) and arcvise Shop.

Article 1 - General

1.1 These general terms and conditions (hereinafter referred to as “the General Conditions”) apply to all offers, quotations, agreements, and deliveries of goods and services by arcvise to customers and clients (hereinafter referred to as “Client”).

1.2 Any deviations from these General Conditions require prior written consent from arcvise.

1.3 Additional or differing terms proposed by the Client, including purchase conditions, are not binding unless expressly accepted in writing by arcvise.

1.4 In the event of conflicting terms, these General Conditions shall prevail.

1.5 If any provision of these General Conditions is declared void or otherwise unenforceable by a competent court, the remaining provisions shall remain in full force and effect.

1.6 In cases of distance selling to consumers under the relevant legal frameworks (e.g., “distance selling regulations”), mandatory consumer protection laws will prevail over any conflicting provisions in these General Conditions.


Article 2 - Orders, Offers, and Agreements

2.1 All offers, quotations, and price estimates are non-binding unless explicitly stated otherwise.

2.2 Agreements are only concluded once an offer or order has been explicitly accepted in writing by arcvise or once work has commenced. 

2.3 Descriptions in offers and quotations are as accurate as possible but are not binding.

2.4 If an order does not result in an agreement, arcvise reserves the right to charge any costs incurred to the Client.

2.5 Changes or additions to agreements can only be made in writing.


Article 3 - Delivery and Delivery Time

3.1 Delivery times are indicative and not binding unless explicitly agreed otherwise.

3.2 Arcvise reserves the right to suspend delivery if the Client has not fulfilled their obligations.

3.3 Delivery occurs ex-warehouse or another location determined by arcvise.

3.4 The risk for transport lies with the Client. Transport insurance is only arranged upon the Client’s explicit request and at their expense.

3.5 Partial deliveries may be made, and these can be invoiced separately.


Article 4 - Prices

4.1 Prices are exclusive of VAT and additional costs, such as packaging and shipping, unless explicitly stated otherwise.

4.2 Arcvise reserves the right to adjust prices based on cost increases, such as those for materials, labor, or transportation.


Article 5 - Payments

5.1 Payments must be made within 14 calendar days of the invoice date, unless otherwise agreed.

5.2 In case of late payment, a 10% penalty fee will be charged on the outstanding amount. Services may be suspended until payment is received.

5.3 If payment remains outstanding for more than 45 days, arcvise may engage a debt recovery agency. All associated costs will be borne by the Client.


Article 6 - Retention of Title

6.1 All goods remain the property of arcvise until full payment has been received.

6.2 The Client may not sell or encumber goods subject to retention of title without written consent.


Article 7 - Complaints

7.1 Complaints must be submitted in writing within 8 days of delivery or service completion.

7.2 If a complaint is deemed valid, arcvise may choose to repair or replace the product.


Article 8 - Force Majeure

8.1 Arcvise is not liable for delays or non-performance due to force majeure, including but not limited to natural disasters, strikes, or supply chain disruptions.


Article 9 - Warranty

9.1 Warranties on equipment are provided solely under the manufacturer’s terms.

9.2 Warranty does not cover damages caused by misuse, normal wear and tear, or unauthorized modifications.


Article 10 - Liability

10.1 Arcvise is not liable for indirect damages, such as lost profits or data, unless caused by intent or gross negligence.

10.2 Liability is limited to the invoice value of the products or services provided.


Article 11 - Termination

11.1 Arcvise reserves the right to terminate agreements without liability if the Client fails to meet their obligations.


Article 12 - Intellectual Property

12.1 All intellectual property rights related to software, equipment, or materials provided remain with arcvise or its licensors.

12.2 Clients are prohibited from copying, modifying, or reverse-engineering software or materials without written permission.


Article 13 - Applicable Law and Disputes

13.1 All agreements are governed by Belgian law.

13.2 Disputes will be submitted to the competent court in Antwerp.


Article 14 - Privacy and Data Protection

14.1 Arcvise processes personal data in accordance with the GDPR.

14.2 Client data will not be shared with third parties unless required for service delivery or legally mandated.
